Securematics Training Ltd (hereafter referred to as the “company”, “Securematics Training”, “we”, “us”, and “our”) provides www.securematicstraining.co.uk. We encourage prospective clients to read our terms and conditions, prior to any purchases.
1. Introduction:
1.1 These terms and conditions apply to any Course booking and product order accepted by the Securematics Training and no other terms and conditions shall apply without the prior written agreement of Securematics Training Ltd. For the avoidance of doubt, these terms shall apply from the time a booking is accepted by Securematics Training and such shall constitute the Agreement between the Parties.
2. Definitions:
2.1 The “Company”, “Securematics Training”, “We”, “Us”, “Our” - this refers to Securematics Training Ltd with a registered office at 72 Lee High Road, Lewisham, London SE13 5PT.
2.2 “Client”, “Your”, “You” - this refers to the individual purchasing from Securematics Training that intends to attend a training event.
2.3 “Booker” - this refers to the person making the booking with Securematics Training, on behalf of a client attending the course.
2.4 “The Website” - this refers to the www.securematicstraining.co.uk.
2,5 “Terms and Conditions” - this refers to the terms of usage and conditions under which all purchases are pursued and the website is utilised.
2.6 “Booking Form” - this is an agreement between Securematics Training and its clients, with regard to prospective delivery of services.
2.7 “Joining Instructions” - this refers to a set of instructions that are given to clients upon receipt of payment, regarding event-related details.
2.8 “Working Days” - this refers to days between Monday and Friday, excluding Public Holidays.
2.9 "Course(s)" means the relevant training course, service or activity provided by (or via) the Securematics Training, either at the Securematics Training premises or at other locations as specified by, or otherwise agreed in advance with Securematics Training.
2.10 “Customer" means the party that has booked a place on a Course for one or more Delegates.
2.11 “Delegate” means an individual who attends a Course
2.12 “Securematics Training” means the Securematics Training Ltd, which is located at ‘72 Lee High Road, Lewisham, London SE13 5PT and is run by Securematics Training. Securematics Training (directly or indirectly) are the provider of training services under these terms and conditions on behalf of Securematics Training Ltd
2.13 “Party” shall mean a party to this Agreement, namely Securematics Training Ltd or the Customer, jointly referred to as the “Parties”.
2.14 “Securematics Training” means Securematics Training Ltd a company incorporated in England and Wales (registered no. 09907134) whose registered office is at 72 Lee High Road, Lewisham, London SE13 5PT.
3. Training:
3.1 Securematics Training will provide training in accordance with the Course booked by the Customer. The content of the Course will be as specified in the relevant Course material issued by Securematics Training Ltd
4. Course Bookings:
4.1 Courses may be booked by the Customer online via the Securematics Training website (www.Securematicstraining.co.uk). Bookings will be provisional until payment has been received.
5. Course Location:
5.1 The Course will be held at Securematics Training ’s premises, unless as advertised or advised by Securematics Training to the contrary.
6. Fees:
6.1 The Course fee shall be that as published periodically by Securematics Training on its website (www.Securematicstraining.co.uk). All fees are priced in Pounds Sterling and exclude VAT which is payable by the Customer at the prevailing rate.
6.2 Unless otherwise agreed or advertised, the fees for Courses delivered at the Securematics Training exclude accommodation and meals for the period between the Course start and Course end date
7. Payment Terms:
7.1 Payment can be made online at the time of booking or at a later date if a provisional booking has been made. If a Customer wishes to receive an invoice for payment they are to advise Securematics Training at the time of enquiry or upon making the provisional booking. Invoices are to be paid immediately. Delegates who present themselves to Securematics Training without payment of fees will not be allowed admission to a Course or to the onsite accommodation.
7.2 Interest on outstanding sums shall become payable by the Customer at 8% above the Bank of England Base Rate applicable on the date of invoice
7.3 The Course Fee(S), Including VAT, Are Payable in Full Before Completion of The Course or Immediately Upon Confirmation. Customers Wishing to Make Payments from Non- UK Accounts or Credit Cards Must Be Responsible for All Bank Charges in Relation to The Overseas Transactions.
7.4 Any Late Payments Will Be Subject to A Late Payment Charge Of £50. Payments Can Be Made by Major Credit, Debit Cards Including. Or PayPal
7.5 Where A Purchase Order Is Issued Must Clearly State the Purchase Order Number, Course Dates, Full Invoice Amount and Contact Details for Invoicing. When More Than One Course Is Booked on The Same Booking Form, Full Payment for All Courses Is Required Immediately Upon Confirmation Before the Commencement of The First Course.
7.6 Securematics Training Booking Fees Must Be Paid in Full Upon Confirmation. Securematics Training Reserves the Right to Refuse Entry to Training Until the Course Fee Is Paid in Full. Please Also Note That Examination Results and Certificates Will Only Be Issued When the Full Fee for The Course Has Been Paid.
7.7 Administration Fee for Cancellations Are Payable Immediately Upon Invoice. The Terms of This Agreement Override Over Any Other Terms of Business or Purchase Conditions Put Forward by The Customer.
7.8 Once A Partial or Full Payment Has Been Processed, Over the Phone, In Person or On the Website By The Following Methods: Cash, Debit Card, Credit Card, PayPal, Cheque Or Bank Transfer, The Delegate Is Adhering To Securematics Training Terms And Conditions Irrespective Of A Booking Form Having Been Signed.
8.Course Cancellation:
8.1 Cancellations made by Securematics Training
Securematics Training reserves the right to cancel, move, and reschedule a training event or course due to circumstances that are beyond Securematics Training’s control, such as trainer illness or low attendance. Reasonable efforts will be made to contact and notify clients of any alterations to their training event or course. If a training event is cancelled, Securematics Training will either re-allocate Clients on to future training events with the Client’s consent, offer Virtual training events, or offer a full refund of the pre-paid course fee.
8.2 Client Cancellations
Except for instances provided under Clause 8.1, “Cancellations made by Securematics Training”, the following cancellation fees will be imposed on all bookings, dependent on the number of days’ notice provided to Securematics Training. If you need to make a cancellation, please notify Securematics Training in writing or via email to the following address – Securematics Training, 72 Lee High Road, Lewisham, London SE13 5PT.
All cancellation and rescheduling fees are due immediately via debit or credit card.
9. Re-scheduling courses or exams:
9.1 Re-scheduling courses or exams with between 0-7 days’ notice prior to the course start date, will result in a 100% charge of the full value of the course booked, in addition to the VAT.
9.2 Re-scheduling courses or exams with between 7-15 days' notice prior to course start date, will result in a 50% charge of the full value of the course booked, in addition to the VAT
9.2 Re-scheduling courses or exams more 15 days prior to the course start date, will result in 25% charge
10. Delegates:
10.1 Securematics Training reserves the right to withdraw any Delegate from the Course if in its reasonable opinion it considers that the Delegate is not suitable or fit to attend the Course.
10.2 Delegates will be required to comply with all relevant rules and regulations applicable to the Course.
10.3 Securematics Training may, at its own discretion, expel any Delegate who by reason of disruptive behaviour or misconduct proves themselves to be unfit to complete the Course. Under these circumstances, full Course fees will be payable.
11. Certificates:
11.1 Unless otherwise specified by Securematics Training, on successful completion of the Course, the Delegate may be awarded a certificate by Securematics Training or its Award Body. The decision of Securematics Training as to whether or not a Delegate has successfully completed the Course shall be final and conclusive.
12. Insurance:
12.1 Securematics Training Ltd will arrange such third-party liability and indemnity insurance as it considers appropriate. Copies of the Insurance Certificates are held on the Securematics Training premises.
13. Care and Skill:
13.1 Securematics Training will comply with all relevant health and safety legislation and will exercise reasonable care and skill in training Delegates and provide the Courses.
14. Recording of Securematics ’s Employees or associates
The monitoring or recording of any Securematics Training employee is not permitted under any circumstances
Clients are not permitted to take any video/photography/audio during the course without prior written consent of Securematics Training and its Clients, failure to do so will be considered a direct breach of our terms of business and this matter would be taken very seriously.

Securematics Training may take photographs, videos, or audio recordings of you during some course as required by awarding body and will not use this material for Securematics Training ’s own marketing purposes without your prior consent.
15. Prices:
15.1 All pricing quotations are only valid for 7 days from the date that they are first sent to the client. All prices are subject to change due to the dynamic nature of our business and of the training industry.
15.2 The published prices exclude VAT. Clients and Companies must pay Securematics Training any VAT that is chargeable on services that are provided; Securematics Training will list the correct VAT amount on the invoice - as required by statute.
15.3 All quotations exclude VAT. If the corresponding purchase is pursued, as required by statute, VAT will be applied at the point of purchase and feature within the sales invoice.
15.4 The published prices do not include any travel, accommodation or living expenses which the client may incur in attending unless specifically mentioned on the Booking Form. For onsite events, please refer to Clause 24 for our onsite terms or for a full breakdown, please see our Fixed Onsite Training Expenses policy.
15.5 VAT is payable regardless of the Client’s country of origin; the point of supply for VAT purposes is the location of the course. For E-learning courses, VAT will be charged with regard to the place of supply and the relevant tax legislation in the country of consumption.
15.6 If a third-party vendor, certification body, or service provider alters their examination fee or material cost, Securematics Training reserves the right to adjust the relevant training course prices to reflect such alterations.
15.7 Training event prices listed on correspondence, brochures, leaflets, and materials belonging to Securematics Training are not legally binding due to anticipated price fluctuations; they are advisory at the time of public dissemination and do not constitute as part of a legal agreement.
15.8 The price for any goods or services that you purchase from us is as set out under the option you select and unless otherwise stated, all prices exclude VAT at the prevailing rate.
15.9 The total purchase price, including VAT, if any, will be displayed in your shopping cart prior to confirming the order.
15.10 We reserve the right periodically to update the prices on the Website and to add to, amend, or withdraw the products and services that we offer, without prior notice. Every effort is made to ensure that the prices are correct, but in the event of serious error, any transaction shall be voidable by us and you would then be entitled to a full refund
16. Refunds:
16.1 When A Refund Is Issued to The Customer by Securematics Training, The Refund May Take Up To 20 Working Days to Be Processed.
16.2 Refunds Will Be Processed Using the Same Payment Method That the Original Payment Was Made.
16.3 Deposits, Credit Card Surcharge and Banking Fees Are Non-Refundable.
16.4 Securematics Training Will Not Be Liable for Any Fluctuation in Exchange Rates or Bank Charges for Overseas Refund Transactions.
16.5 Securematics Training Bookings Are Valid for Up to A Maximum Of 2 Months from The Date of The Order.
16.4 Courses and Examination Discounts and Vouchers Are Non-Refundable.
17. Deferring of Examinations:
Upon Commencement of The Training Course, Securematics Training Accepts That Occasionally an Individual Delegate May Wish to For Personal Reasons; Defer an Examination to A Later Date.
In This Case, The Delegate Will Be Subject to A Rescheduled Exam Fee Of £50 Per Course and Must Reschedule the Examination Within 15 Working Days of The Original Exam Date, Subject to Availability.
Delegates Must Inform Securematics Training of The Deferral At Least 7 working Days in Advance of The Original Exam Time.
18. Changes to Courses
18.1 Securematics Training reserves the right to amend any part of a published course due to circumstances beyond our control. In the event of cancellation or rescheduling, Clients will be notified promptly. While every effort will be made to avoid such changes, unforeseen circumstances (e.g., trainer illness or low attendance) may necessitate adjustments. In such cases, we will endeavour to provide a replacement trainer or reschedule the course, offering Clients a range of options to continue their training. If none of the alternatives are acceptable, a full refund will be issued.
18.2 Course timetables are provided for general guidance and are advisory in nature. Securematics Training accepts no liability for typographical errors, pricing inaccuracies, or omissions in any published materials, including websites, brochures, administrative documents, or course content.
18.3 Full course details—including date, venue, pre-course materials, maps, and directions—will be provided upon receipt of payment via joining instructions. Securematics Training reserves the right to change the venue due to circumstances beyond our control and will inform the Client as soon as possible. We are not liable for any out-of-pocket expenses incurred due to venue changes or course cancellations beyond our control.
18.4 For residential training courses, we will make every reasonable effort to secure accommodation at the same location as the training venue. If this is not feasible, alternative accommodation will be arranged nearby, typically within walking distance.
19. Course Materials:
If for any reason (including but not limited to transit delays beyond the control of Securematics Training) courseware does not arrive on time for the course we will commit to replacing it at the earliest opportunity and make best endeavours to make temporary materials accessible, as required, to continue the learning programme. Refunds will not be granted for transit-related delays beyond the control of Securematics Training
20. Non-Attendance:
Non-Attendance of Any Course for Any Reason Whatsoever Is Deemed to Be a Cancellation with No Notice and Payment Is Due in Full. A Multiple Course Booking Is When More Than One Course Is Confirmed That May Make Up Part of An Award, Qualification or Certification. Part Attendance of a Course Is When a Delegate Does Not Continue to The Full Course Completion.
In This Situation the Delegate Will Not Be Entitled to Any Refund for Courses or Part Of Course That Were Not Attended, This Will Be Deemed As Non-Attendance. And No Certificate Will Be Issued for The Units Attended.
21. Course Product Suitability:
21.1 The booker accepts that it is their responsibility that the course booked is suitable for the requirements and abilities of the clients attending. Securematics Training’s employees may recommend courses or learning solutions, however, the assessment and the final decision concerning the suitability of the course is the Client’s responsibility. In cases where we have made recommendations, we do so in good faith and will not be wilfully misleading.
21,2 All public and onsite training courses are delivered only in English unless specified otherwise and all Clients must be sufficiently proficient in the English language prior to attending the course.
22. Admission:
22.1 Securematics Training Reserves the Right to Refuse Admission to Any Person Whom It Considers in Its Absolute Discretion to Be Unsuitable for The Training Programme.
23. Booking on Behalf of The Delegate:
23.1 In All Cases the Customer Undertakes to Bring These Terms and Conditions to The Attention of Delegates. It Is Booker’s Responsibility to Ensure That the Delegates Receive All the Relevant Information Including the Joining Instructions, Course Updates and That They Meet the Eligibility and Published Prerequisite Requirements.
24. Onsite Training
24.1 Onsite Training on Client Specified Site:
It Is the Customer’s Responsibility to Provide All Facilities, Equipment and Set Up Required for Trainer to Deliver the Training. Securematics Training Reserves the Right to Cancel or Discontinue the Course If, In the Trainer's Opinion, The Venue, Equipment Or Conditions Are Unsuitable.
24.2 Onsite and Trainer Expenses:
Trainer expenses for private, onsite, or closed courses will be charged as agreed at the time of the course booking, as stated on the Booking Form.
A fixed rate for the training expenses will be applied. An example of expenses can be viewed in our Fixed Onsite Training Expenses policy.
25. Your Securematics Training Online Account:
25.1 If you create an account on the Website, you are responsible for maintaining the security of your account, and you are fully responsible for all activities that occur under the account and any other actions taken in connection with the bookings. You must immediately notify Securematics Training of any unauthorised uses of your booking page, your account or any other breaches of security. Securematics Training will not be liable for any acts or omissions by you, including any damages of any kind incurred as a result of such acts or omissions. Securematics Training will not be liable for any booking refunds, losses or damages that may be issuing against you, irrespective of whether the cause was human error or an error in or misuse of the software.
26. Security and Encryption:
We use the highest level of security and encryption methods available for processing payments online. We also strictly adhere to best practices of data protection. That means your payment details are as secure as they possibly can be when making a purchase with us.
Securematics Training shall implement reasonable measures to ensure that correspondence and machines used during training events are free from viruses and potentially harmful malicious software.
Securematics Training makes no warranty for the reliability, protection, or virus-free nature of the material that is downloaded from our website.
27. E-Learning, Online Learning:
Course Enrolment, Fees and Login Credentials Are Strictly Non-Transferable and Non-Refundable. Fair Usage Policy Applies to Access to Study Materials.
Securematics Training Reserve the Right to Restrict Access Based on Operational Requirements Including Bandwidth Consumption to Ensure Fair Access to All Learners. Access To E-Learning/Online Products Is Granted for Limited Period from Date of Purchase. Extensions Can Be Granted Upon Request. If You Require an Extension, Please Contact Info@Securematicstraining.Co.Uk To Obtain an Extension Quotation.
Whilst Securematics Training Endeavours to Ensure That the Information on The Online Platform Is Correct, We Do Not Warrant the Accuracy and Completeness of The Materials on The Site and We Make Changes to the E-Learning/Online Content from Time to Time Without Notice. Securematics Training Reserves the Right to Change or Alter Course Content from That Which Is Published in Order to Maintain the Quality of The Learning.
28. Copyrights:
All Intellectual Property Rights for All Course Materials Shall Remain the Property of Securematics Training. The Customer Agrees Not to Reproduce, Sell, Hire, Lend or Copy the Course Materials or Use Them Except For The Purpose of Personal Reference. Securematics Training Warrants That It Will Not Knowingly Include Any Copyright Material in Its Course Materials Without Licence or Consent.
29. Intellectual Property:
29.1 The Website and All the Products and Services of Securematics Training Without Limitation Are Protected by International Copyrights, Trademarks and Subject To Intellectual Property Rights. Therefore, All Intellectual Property Belongs to Securematics Training, Its Related Companies, Its Affiliates or Suppliers.
29.2 All intellectual property rights in the Course material shall vest in and remain with Securematics Training Ltd or its licensors. Copies of any Course materials provided to the Customer and / or a Delegate(s) shall only be made with the prior written permission of Securematics Training Ltd. Should Securematics Training Ltd. adapt or modify a Course to include any material provided by the Customer, the Customer warrants that any such material shall be provided with sufficient and appropriate intellectual property rights. Accordingly, the Customer agrees to indemnify and hold harmless Securematics Training Ltd. from any claims associated with (inter alia) the use, edification, replication and/or sub-licensing by Securematics Training Ltd. of any such material
29.3 Securematics Training Does Not Accept Responsibility for Intellectual Property Used During Any Training Provided Which Does Not Show an Affiliation to Securematics Training. Any Intellectual Property Used in A Training Course, Including the Course Itself Is Protected by Limitations Laid Out in International Copyright Law, And Is Subject To Intellectual Property Rights.
29.4 You May Not Copy, Sell, Reproduce, Distribute, Download, Modify, Display Or Prepare Derivative Works Based On, Repost, Transmit Or Otherwise Use Any Of The Intellectual Property Of This Site. The Information on This Site Is Provided “As Is” And Without Any Warranties. Securematics Training Does Not Accept Responsibility of Content Of Any Third Party Sites That Maybe Referenced By Securematics Training. The Following Activities Are Strictly Prohibited: Use of Robots, Other Automatic Device or Manual Process To Monitor Or Copy The Site Of Any Of Its Content Or The Replication Of This Site To Any Server.
30. Confidentiality:
All Client and Company information that is disclosed to Securematics Training will be kept confidential. Such information will not be disclosed by Securematics Training to any third-party organisations or individuals, unless reasonably required for the performance of our service delivery, for example booking examinations.
Such information shall only be disclosed to employees that require such knowledge to conduct their role at Securematics Training. Such individuals are subject to legally binding obligations of data protection and confidentiality.
Securematics Training shall not be liable for the disclosure of any Client or Company information that is readily available in the public domain, or if dissemination is agreed in a legally binding written approval document.
31. Liability and Indemnity:
31.1 Although Securematics Training will exercise reasonable care and take reasonable precautions, the Customer agrees to indemnify and hold harmless Securematics Training Ltd. from and against all claims made in respect of personal injury (including injury, illness or disease resulting in death) and/or loss of or damage to any property other than to the extent such loss, damage or injury is due to, or arises from either the negligence of Securematics Training Ltd., its employees or contractors whilst in the performance of their duties, or as a result of fraudulent misrepresentation by Securematics Training Ltd.
31.2 To the maximum extent permissible under English law, the total aggregate liability of Serco to the Customer or its Delegates shall not exceed the fees for the Course, whether for breach of this Agreement or in tort (including negligence), or for breach of statutory duty or otherwise arising in connection with the Course.
31.3 In no event will Securematics Training Ltd. be liable to the Customer for economic loss and/or indirect or consequential loss or damage.
31.4 Securematics Training Ltd. shall not be liable for any loss, damage, costs, fines or expenses or other liabilities, including such incurred by third parties, as a result of the Customers’ and/or the Delegates’ attendance at the course and/or their reliance or use of any outputs from the Course or materials delivered during the Course, including but not limited to reports, plans, procedures and training materials.
31.5 Securematics Training Liability for Loss and Damage Shall Be Limited to A Claim for Damages. The Maximum Aggregate Liability Will Be the Charges for The Course Out of Which the Loss or Damage Has Arisen. Securematics Training Will Not Accept Liability for Personal Injury That Incurs During Our Training Courses Caused by The Negligence of Any Third Party. Securematics Training Will Not Be Liable for Indirect, Special or Consequential Loss (Including Loss of Anticipated Profit or Data), Howsoever Arising, Even If It Has Been Advised Of Such Potential Loss. Securematics Training Will Not Be Responsible for Any Damage Resulting from Any Computer Viruses Arising from Software Installed on Customer Computer Systems.
32. Personal Belongings:
Personal Belonging or Items Belonging to The Delegate on The Delegate’s Possessions Brought onto Training Courses Are the Sole Responsibility Of The Delegate. Securematics Training Accepts No Responsibility of The Items or Any Loss or Damage That May Occur During the Course.
33. Pricing and Payment for Goods
33.1 We aim to keep our website up to date with details of current pricing. From time to time, we may give special offers on certain materials and details of these can be obtained from our website or by contacting our Customer Services Team on 02083185860.
Whilst we take all reasonable care to present accurate pricing information, we cannot guarantee that our pricing will not change. However, if our pricing increases, then we will normally check with the customer before dispatch to see if the customer still wishes to receive the item at the new price or will cancel the order and notify the customer of this.
33.2. All our prices are in pounds sterling, unless stated otherwise.
33.3 You shall pay for the Goods at the point at which you purchase the Goods via the Website. The price of the Goods shall be confirmed prior to you purchasing the Goods.
33.4 All prices in our catalogue, leaflets and on the Website, are in GBP, exclude VAT and delivery and were correct when published. We reserve the right to change the advertised price before an order is placed. You shall be notified of such amended price prior to purchasing the Goods.
33.5 The Goods remain the property of Securematics Training until payment has been received by Securematics Training from you in full and cleared funds.
33.6 If you fail to make any payment due to Securematics Training under the Contract by the due date for payment, Securematics Training may charge interest at the higher of either 3% above Barclays Bank plc. base rate or the rate as set out in the Late Payments of Commercial Debts Regulations. Such interest shall accrue on a daily basis from the due date until actual payment of the overdue amounts, whether before or after judgment. You will pay the interest together with the overdue amount.
33.7 All amounts payable exclude any amounts payable (where applicable) to professional bodies for registration, exemptions and examination entries, which are payable by customers directly and we accept no responsibility for this.
33.8 We may, in order to comply with distance selling regulations, need to charge the applicable VAT rate for any country for which we exceed the distance selling threshold.
33.9 to the extent that any sales are subject to VAT, invoices will reflect the VAT charge. Customers from VAT exempt territories within the EU may (if the sale is subject to VAT) request a VAT refund after dispatch.
34. Orders:
34.1 Full payment is required on placing of the order and prior to the dispatch of materials, unless the customer has agreed credit terms with us (when these will apply).
34.2 All orders are accepted subject to stock availability and may be delivered in two or more instalments.
34.3 If an order is placed online, then an order confirmation should appear on the screen (which the customer is advised to print off). The status of the order can be viewed online. An order made online only becomes binding when we have dispatched the materials.
34.4 Orders for bespoke printing or special orders where we have to source from third parties are subject to firm ordering terms only and are non-cancellable and non-returnable, except where the relevant materials are damaged or faulty and subject to “Returns” below.
34.4 We will use the method of delivery we deem most appropriate to the sale (ie post, courier or freight) and any such delivery costs will be added to the invoice. For details please contact our Customer Services Team on 02083185860.
34.5 Securematics Training reserves the right to decline an order where we suspect fraud.
34.6 If a customer fails to take delivery on the date of delivery of the materials or does not give adequate delivery instructions, then we may store the materials and will not be liable for any loss, damage or deterioration during storage. All such storage expenses and any additional delivery costs will be reimbursable to us and may be added to the invoice.
34.7 Title to materials only passes on payment in full. This means any sales made by customers before the passing of title are made as agent for Securematics Training and any proceeds will be held on trust by the customer to the extent necessary to settle any amounts due to us.
34.8 If a customer believes that materials have been lost in transit or have not been delivered, they must contact us within 30 days of the shipping date. Claims will not be accepted for lost items reported outside this time frame.
34.9 Customers are responsible for complying with all relevant import and distribution laws and regulations and for obtaining and maintaining at their own expense any necessary import or export licences, customs’ clearances, exchange control consents or other authorisations and permits.
35. Shipping/Delivery Policy:
Delivery - unless a specific agreement has been made, the following will apply:
35.1 For orders within mainland UK received before 17:00, the Goods will normally be dispatched the following Working Day. Orders will normally be dispatched using a two Working Day service. It should normally take no longer than 4 Working Days to receive the Goods. If you have not received the Goods within 4 Working Days please contact us or use the order tracking future on the member area to track your order; and
35.2 Where orders are outside the UK, delivery charges may be shown as £0.00. You may be contacted before shipping to confirm the delivery costs.
35.3 If the delivery arrangements differ from above, you will be informed at the point of ordering, or by e-mail as close as possible to the time of ordering.
35.4 At any time before your order is dispatched, you have the right to cancel your order without payment or prejudice.
36. The Goods/Product:
36.1 All Goods are subject to availability. As a result of continuous product improvement, the specification or design of Goods may vary from that shown.
36.2 It is your responsibility to ensure the suitability of the Goods offered for any particular purpose prior to purchasing the Goods.
37. Product Return Policy:
37.1. We operate a “no questions asked” returns policy if materials are returned within seven working days of delivery. Any postage or courier charges incurred in making such returns will be at the customer’s cost, unless the materials were damaged or faulty (as detailed in paragraph 37.2, but subject to the prohibited returns detailed in paragraph 37.4.) or sent in error.
The policy does not apply to any sealed distance learning materials, audio, video recordings or computer software (which have been unsealed). These are subject only to the return provisions as detailed in paragraph 37.2. Below.
37.2. after the “no questions asked” period specified in paragraph 37.1, we will only accept returns of materials in the following circumstances:
37.2.1. The products were found to be damaged or faulty (subject as excepted in paragraph 37.4.), in which case we will either replace the products or give the customer a full refund (subject to their indicating a preference and to our receiving the relevant product back from the customer before dispatching the replacement).
37.2.2. The products were incorrectly supplied by us, in which case we will issue a full refund (subject to our receiving the relevant products back from the customer).
37.3. the customer is responsible for packaging and returning any products returned in accordance with these terms and conditions. Any returns of products in accordance with these terms and conditions should be made to the return address specified with the package on delivery. Please allow 14 days (in addition to any delivery time) for returns to be processed. We will only be liable to reimburse return costs as detailed in paragraphs 37.1 and 37.2 to the extent we are satisfied that the customer has used the most economical and appropriate return method.
37.4. any returned products damaged other than through our fault (and this includes circumstances where the relevant products have been used or show signs of being used) will not be accepted by us and no refund will be made. We will notify the customer of any such circumstances and the customer will be responsible for arranging collection of rejected products. Any such products not collected within 30 days of notification by us will be disposed of and we accept no liability.
37.5. Our returns policies do not affect your statutory rights
38. Privacy Policy:
Securematics Training is committed to maintaining your privacy and the use of your personal information. If at any stage you have a question regarding the personal information that we hold on file, please do not hesitate to contact us.
Securematics Training will not disclose personal information to a third-party organisation unless we have your prior consent to provide this or you have opted to allow the use of your personal information in the pursuit of performance and delivery of our service to you. If the request for your personal information is for a legal purpose, this we would class as an exception, but only after we have 100% fully verified the name or organisation requesting your personal details.
It is our commitment not to collect personal information from Clients visiting our website unless they have voluntarily submitted their personal information via one of our contact forms that requires information that could be based on an enquiry or to book onto a training course. If you start to complete a contact enquiry form and decide not to finish, partial details are stored from where Securematics Training may use this information to make contact with you, only to discuss your initial enquiry that was started but not finished. From time to time, Securematics Training may contact you to inform you about a specific future training programme. Visitor IP addresses may be seen by Securematics Training and on some occasions, the provider's hostname but this information will not disclose your identity.
39. Force Majeure:
Securematics Training Shall Not Be In Breach Of This Contract If The Provision Of Services Are Delayed Or Cancelled Or Reduced Through Any Circumstances Beyond Its Reasonable Control Including Acts Of God (Including But Not Limited To, Fire, Flood, Earthquake, Storm, Snow, Hurricane Or Other Natural Disaster) Sickness, War, Invasion, Act Of Foreign Enemies, Hostilities (Regardless Of Whether War Is Declared), Civil War, Rebellion, Revolution, Insurrection, Military Or Usurped Power Or Confiscation, Terrorist Activities, Nationalisation, Government Sanction, Blockage, Embargo, Labour Dispute, Strike, Lockout Or Interruption Or Failure Of Electricity Or Telephone Service. Delegates Must Ensure That They Can Attend the Training Courses Which They Are Scheduled to Attend. Securematics Training Will Not Be Held Liable, Financially or Actually, For Their Non-Attendance, Whatsoever the Reason May Be.
40. Non-Solicitation:
For 12 Months Following Either the Invoice Date or The Date Of Course Delivery, Of Any Contract Carried Out for The Customer by Securematics Training or An Associate Company of Securematics Training, The Customer, Will Not Directly nor Indirectly Employ or Solicit for Employment Any Employee of Securematics Training. If the Customer Breaches This Clause, Securematics Training Shall Be Entitled to Recover from The Customer a Fee Of 50% Of the Gross Annual Salary of The Employee of Securematics Training Solicited for Employment.
41. Assignments:
Securematics Training May Assign Its Interests in All or Part of This Agreement. The Customer May Not Assign or Transfer This Contract Without the Express Written Permission of a Director of Securematics Training.
42. Deviation:
No Deviation from These Terms and Conditions Will Be Allowed Without the Express Written Permission of a Director of Securematics Training. No Communication Either Verbal or Printed on Our Websites Will Override These Terms and Conditions. If in Any Case Any of These Conditions Shall Be Held to Be Invalid or Shall Not Apply, The Contract and The Other Conditions Shall Remain in Force and Effect.
43. Warranty & Liability:
Securematics Training’s liability for loss and damage shall be limited to a claim for damages. The maximum aggregate liability will be the charges for the course out of which the loss or damage has arisen. Securematics Training will not accept liability for personal injury that incurs during our training courses caused by the negligence of any third party. Securematics Training will not be liable for indirect, special, or consequential loss (including loss of anticipated profit or data), howsoever arising, even if it has been advised of such potential loss.
Securematics Training will not be responsible for any damage resulting from any computer viruses arising from software installed on a Client’s computer systems.
44. Notices:
All notices to Securematics Training shall be in writing, in English and sent to the Securematics Training at the above address, marked for the attention of the Director of the Securematics Training Ltd. and to the Customer at such address as it may have given to Securematics Training
45. Remedies:
Neither Party shall be deemed to have waived any rights or remedies unless its waiver is in writing and signed by a duly authorised officer of the Party making such a waiver.
46. Amendments:
No amendments to this Agreement shall be valid unless they have been made in writing and executed by duly authorised officers of both Parties.
47. Severance:
If any provision or part-provision of this Agreement is or becomes invalid, illegal or unenforceable, it shall be deemed modified to the minimum extent necessary to make it valid, legal and enforceable. If such modification is not possible, the relevant provision or part-provision shall be deemed deleted. Any modification to or deletion of a provision or part-provision under this Clause shall not affect the validity and enforceability of the rest of this Agreement.
48.No Third Parties
Nothing in these Terms and Conditions shall confer on any third party the right to enforce any provision of these Terms and Conditions
49. Entire Agreement:
This is the entire Agreement between the Customer and Securematics Training as to the Course and all other agreements, understandings or representations not expressly included or referred to in this Agreement are hereby excluded.
50. Governing Law and Jurisdiction:
This Agreement shall be governed by and construed in accordance with English law and subject to the exclusive jurisdiction of the Courts of England and Wales unless the Parties agree to arbitration.
